Ballard Power Systems Accelerates Hydrogen Expansion with £275 Million Acquisition of GeoPura

Canadian fuel cell pioneer Ballard Power Systems Inc. (NASDAQ: BLDP; TSX: BLDP) has signed a definitive agreement to acquire UK-based hydrogen power provider GeoPura Limited for an upfront purchase price of £275 million (approximately $356 million USD).

The deal transforms Ballard from a specialized hardware manufacturer into a fully integrated “Energy-as-a-Service” operator. Beyond supplying fuel cell technology, the company will now directly handle the generation, distribution, and leasing of off-grid clean energy systems across global markets.

Under the agreed terms, Ballard will fund the purchase using £82.5 million in cash alongside approximately 50.8 million newly issued common shares. GeoPura shareholders are eligible for an additional £27.5 million if post-closing financial milestones are met. The total enterprise value of the deal stands at £301.1 million, including assumed net debt. Following the close, GeoPura investors will hold roughly 14.4% of Ballard’s common stock.

Bridging the Gap to Off-Grid Power

Founded in 2019, GeoPura has quickly become a prominent figure in the UK’s transition away from diesel power generators. Its proprietary Hydrogen Power Units (HPUs) deliver zero-emission, low-noise power for demanding environments, achieving an uptime reliability rating of 99.9999%.

GeoPura’s commercial footprint spans critical infrastructure, construction, broadcast television, defense, and healthcare. Its current client roster includes major organizations such as Microsoft, the BBC, Disney, Balfour Beatty, Aggreko, and the UK Ministry of Defence.

The acquisition formalizes a years-long technical partnership: Ballard has historically supplied the underlying fuel cell engines powering GeoPura’s mobile power units. By absorbing GeoPura’s operational footprint—which includes fuel logistics and a 50% stake in the HyMarnham Power production facility—Ballard gains direct control over the entire supply chain.

“This is a truly transformative acquisition that establishes Ballard as a leading, fully integrated hydrogen ecosystem provider,” said Marty Neese, President and Chief Executive Officer of Ballard. “By combining Ballard’s world-class fuel cell technology with GeoPura’s energy-as-a-service business model, we create a company well-positioned to serve end markets demanding secure, emissions-free power for mission-critical applications.”

Expanding Revenue Models and Policy Tailwinds

The integration is designed to pivot Ballard’s revenue engine away from single-event equipment sales toward long-term, multi-year leasing and hydrogen supply contracts. GeoPura expects to generate approximately £38 million in revenue for 2026.

By capturing value at every stage—from fuel production to end-user equipment leasing—Ballard projects it will capture significantly higher lifetime revenue per megawatt deployed. Executive management identified approximately $25 million USD in annual run-rate EBITDA synergies, affirming that the deal keeps the company on track to reach full profitability by 2028.

The transaction also gives Ballard access to guaranteed regulatory backing. GeoPura holds a contract under the UK Government’s inaugural Hydrogen Allocation Round 1 (HAR1), a policy mechanism that secures revenue subsidies for green hydrogen production over a 15-year period.

Andrew Cunningham, Founder and CEO of GeoPura, highlighted the strategic fit between the two organizations. “When your work powers film and live television, hospitals, defence, essential infrastructure, and construction with reliable off-grid systems, your engine supplier is central to your success,” Cunningham said. “Ballard has stood head and shoulders above the rest… I am incredibly excited to combine GeoPura’s high-performance capabilities with Ballard’s product excellence.”

Lord Richard Harrington, Chairman of GeoPura and former UK Business Minister, added that the merger positions British-developed zero-emission technologies for a global export market, backing Ballard’s aggressive international expansion plans across North America and Europe.
